General Terms and Conditions of Sale1. General

1.1. These General Terms and Conditions of Sale (hereinafter referred to as “ General Terms and Conditions”) These General Terms and Conditions apply to the sale of ASTELLAN Fragrances Ltd. London branded “ ASTELLAN ” products (hereinafter referred to as “ Products ) completed remotely on the website http://AstellanFragrances.com (hereinafter referred to as the “ Website ”) . These General Terms and Conditions apply to any order placed on this Website.

1.2. The distance selling services provided for in these General Conditions are intended only for consumers (hereinafter referred to as “ clients ” or “ customers ”); “consumer” means a natural person aged 18 or above acting for purposes other than commercial, business, craft or professional activities.

1.3. The language used for signing sales contracts on this website is English.

1.4. The Client must carefully read the General Terms and Conditions on the Website in order to understand them, save them and print them for your records. The contract concluded with the Client will be archived by ASTELLAN Fragrances Ltd. London in electronic files at its registered office and in its databases for a period of ten years.

2. Parties to the contract and identity of the seller

2.1. This contract is between the Customer, the consumer, and the Seller. This contract is between the Customer and ASTELLAN Fragrances Ltd. London c/o 38 Grosvenor Street, Mayfair, London W1K 4AQ, United Kingdom , VAT number: 00788550860, invoice number: INV-EUL000575 (“ ASTELLAN Fragrances Ltd. London ”). ASTELLAN Fragrances Ltd. London may use third party suppliers to deliver the products, please see the Privacy Policy for details.

3. Conclusion of the contract

3.1. You may purchase Products through the Website without registering or creating a personal account on the Website.

Creating a personal account on the Website is entirely at the discretion of the Customer. The Customer only needs to fill in the electronic form on the Website and ensure that his personal data is correctly entered as required by the electronic registration form on the "Register" page. The Customer is fully responsible for the truthfulness and accuracy of the personal data entered and submitted during the registration process. After registering on the Website, the Customer can place orders, access the order history, change the registration data entered and/or change the shipping and/or billing address filled in during registration.

Without prejudice to the following paragraphs, the Customer may proceed to purchase the Products defined below after entering his/her personal data (such as name, shipping address and email address) or, if he/she is already registered on the Website, access (or log in) to his/her personal account by entering his/her authentication credentials.

3.2. In order to conclude a contract, the Customer must send an order to ASTELLAN Fragrances Ltd. London containing details of the Products he intends to purchase and the corresponding prices.

3.3 The sending of the order proposal constitutes an offer to purchase the selected products, which is subject to these General Terms and Conditions and is binding on the customer (the customer has the right to cancel the order). The customer's sending of the order proposal means that the customer is obliged to pay the price of the ordered product (or products).

3.4. To purchase the Products, the Customer must:

(i) click on a specific icon to place the selected product in the “shopping cart”;

(ii) completing the order proposal,

(iii) select a payment method,

(iv) accept these General Terms and Conditions, and

ASTELLAN Fragrances Ltd. London via the Website .

Please note that by completing payment using an accelerated payment method (such as shop-pay, apple-pay, google-pay, PayPal Express, etc.), the Customer accepts these General Terms and Conditions and agrees to the Privacy Policy. The aforementioned accelerated checkout options are available in designated areas of the Website, such as product pages, accelerated checkout sliders and shopping cart pages.

3.5. Before sending an order proposal on the Website, the Customer must carefully read all the instructions provided during the purchase process (including those regarding shipping costs, conditions for exercising the right of return and the Privacy Policy) as well as these General Conditions.

3.6. Before sending the order proposal, the Customer may make corrections and/or changes to the data entered by following the specific procedures indicated on the Website (for example, but not limited to, the Customer may change the quantity of Products he intends to purchase by adding or removing one or more Products from the "Shopping Cart").

3.7 The contract between ASTELLAN Fragrances Ltd. London and the Client shall come into existence when the Client receives confirmation from ASTELLAN Fragrances Ltd. London that its Order Proposal has been accepted through the procedures described on the Website (“Order Confirmation”) . ASTELLAN Fragrances Ltd. London will provide the Client with notice of acceptance (or rejection) of the Order Proposal as soon as practicable via the email address provided by the Client in the Order Proposal.

3.8. ASTELLAN Fragrances Ltd. London may reject an order proposal (in which case the Customer will not be required to pay any sums to ASTELLAN Fragrances Ltd. London other than those specified in clause 6) if:

(I) Product unavailability;

(II) If the payment cannot be authorized (for example, if the purchase price has not been charged to the customer's credit card)

(iii) if there are reports or suspicions of fraud or illegal activity, including suspicion that purchases are for resale;

(IV) If the Customer fails to perform its obligations under a previous contract with ASTELLAN Fragrances Ltd. London .

In any event, ASTELLAN Fragrances Ltd. London may, at its sole discretion, refuse an order if the quantity of the Products ordered is excessive.

3.9. If one or more of the ordered products are out of stock, the Customer will be notified by email. In this case, the order proposal will be cancelled or the order will be accepted only for the available products. In case of partial acceptance, the Customer will only pay the price related to the available products (if paying by credit card, the Customer will only pay the amount corresponding to the available products).

3.10. The order confirmation will provide a summary of the essential characteristics of the purchased products, a detailed statement of price and payment methods, as well as information and documents relating to the terms of sale applicable to the concluded contract.

3.11. Subject to the use of personal data described in the Privacy Policy, the forms containing the order proposal and the customer details related to the order proposal may be retained by ASTELLAN Fragrances Ltd. London for the period prescribed by the regulations in force and in any case for at least 10 years.

4. Product Information and Availability

4.1. Product information as well as product codes and prices are available on the Website.

4.2. Without prejudice to the statutory rights of the Client, the visual representation of the Products on the Website, if any, is for information purposes only and will generally correspond to photographic images of the Products. This visual representation is intended solely to showcase the Products for sale: whilst ASTELLAN Fragrances Ltd. London has done its best to ensure that the images of the Products displayed are as accurate as possible, ASTELLAN Fragrances Ltd. London does not guarantee or warrant that the images displayed on the Website will correspond exactly to the actual Products, in particular with respect to the colour of the Products and/or packaging.

4.3.  ASTELLAN Fragrances Ltd. London reserves the right to limit the quantity and/or type of products available for purchase on the Website at any time. During the purchase process, the customer will be notified by an automatic message if the order cannot be processed due to the ordered product being out of stock. In no event will ASTELLAN Fragrances Ltd. London be liable to the customer for the product being out of stock.

4.4. In no event shall ASTELLAN Fragrances Ltd. London be liable for any errors resulting from a malfunction in the Client's connection to the Website.

5. Price

5.1.The prices of the Products displayed on the Website are shown in Euros and include VAT at the current Italian rate. Delivery costs must be added to the price of the Products and specified separately in the Order Form.

5.2.  ASTELLAN Fragrances Ltd. London will continually check the accuracy of the prices stated on the website but cannot guarantee their absolute accuracy. If a product is found to be priced incorrectly, ASTELLAN Fragrances Ltd. London will reject the order and offer the customer the opportunity to purchase the product at the correct price.

5.3. For promotions and discounts, the price displayed consists of the discounted base price (corresponding to the list price), the applied discount percentage and the new sale price.

6. Payment Methods

6.1. The Customer may pay the costs of the Products and the shipping costs included in the Order Proposal by credit card or other payment method activated online.

The Customer must irrevocably select a payment method when placing an order. The total price of an order is the price of the Product, applicable delivery charges and VAT (if applicable). All prices, costs and charges are calculated in British Pounds (£) (GBP).

6.2.  ASTELLAN Fragrances Ltd. London accepts the following credit card payments: Visa, MasterCard, American Express, protected by SSL security protocol and conducted in an encrypted transaction environment.

6.3. The transaction fee will be charged to the customer's credit card and payment will be considered completed only after:

(i) the credit card details have been verified;

(ii) authorization for debit has been obtained from the credit card issuer used by the customer.

6.4 ASTELLAN Fragrances Ltd. London reserves the right to request from the Customer at any time any additional information necessary for the conclusion of the purchase contract ( e.g. landline telephone number) or to send a copy of the document proving ownership of the credit card used to complete the purchase contract. If the Customer fails to provide the requested information or additional documents, ASTELLAN Fragrances Ltd. London reserves the right not to accept the order or to withdraw from a completed purchase contract (if the failure to send the requested information makes the order or contract impossible to execute) and to provide this information to the Customer at the email address specified by the Customer.

7. Discount Coupons - Promotional Codes

7.1. When the customer completes the purchase order, he/she may enter any discount coupon or promotional code. The system will update the total amount of the order (minus the coupon amount).

7.2. Discount coupons can be accumulated in conjunction with other commercial activities, but this must be clearly stated.

8. Shipment and Delivery

8.1. The products will be delivered to the address specified by the customer in the order. Upon delivery, the customer must sign for the delivery. The products will be delivered at street level.

8.2. The customer must provide a delivery address in the order form that is located in an area covered by the delivery service. If the delivery address provided by the customer in the order form is located in an area not covered by the delivery service, ASTELLAN Fragrances Ltd. London is entitled to cancel the order and refund the amount paid within 7 days (but not later than 7 days). The refund period starts from the date of termination of the contract.

8.4. Shipment is generally at a cost and is borne by the Customer, unless otherwise agreed in the Product Specifications or elsewhere on the Website.

The amount of delivery charges payable by the Customer in relation to a specific Order will be clearly stated separately in the Order Summary (in British Pounds (£) (GBP)) and in any case before the Customer sends its Order and in the Order Confirmation Email.

Shipping costs have nothing to do with the quantity or weight of products purchased, but rather with the shipping service used for delivery.

8.5.  ASTELLAN Fragrances Ltd. London reserves the right to vary shipping charges at any time and without prior notice although the charges applicable to the customer will be those applicable at the time the order is placed as shown in the order summary and before the customer becomes bound by the contract and will not take into account any upward or downward adjustment after dispatch.

8.6 . Once ASTELLAN Fragrances Ltd. London has dispatched the product, the carrier will send the customer a communication containing the tracking number and/or a link to track the delivery and may submit additional instructions for situations where the recipient is out of town and how to manage undelivered products.

8.7. In the case of multiple orders involving products that must be delivered separately, the procedure indicated in the above steps will automatically apply to each delivery.

8.8. During the purchase process, before the customer sends the order, ASTELLAN Fragrances Ltd. London will indicate a timetable for the delivery of the products in the order. Unless otherwise stated, the terms of shipment and delivery commence on the working day after the conclusion of the contract. The delivery timetable for the specific order will also be stated in the order confirmation. If no delivery timetable is stated, delivery will in any case take place within thirty days of the conclusion of the contract.

8.9. The risk of loss of or damage to the goods due to causes not attributable to the Seller shall pass to the Customer only when the Customer or a third party designated by the Customer other than the Carrier takes physical possession of the goods.

8.10. The obligation to deliver is fulfilled by the transfer of material availability or, in any case, control of the Product to the Customer. The Customer must check, upon delivery of the Product by the courier:

(I) the number of packages delivered corresponds to the number stated on the delivery note;

(II) the packaging and corresponding seals are intact, not damaged, free from moisture and have not been altered in any way.

8.11 . Any damage to the packaging and/or the Products, or any discrepancy between the number of packages or the ones marked, must be immediately challenged by indicating a reservation on the courier’s delivery note. Once the courier’s delivery note has been signed and the Customer has not raised any objection, the Customer may not raise any objection to the Seller regarding the external characteristics of the delivered package.

8.12. If a control reserve is attached, in the event of damage to the interior of the goods, the customer must immediately notify ASTELLAN Fragrances Ltd. London of this occurrence and attach photographs to the report to demonstrate the condition of the products.

9. Packaging

9.1. Products purchased on the Website are delivered in special packaging to ensure high quality standards so that the Products remain intact during transportation.

10. Right of Cancellation

10.1. The right to cancel the contract is excluded:

- sealed goods that are not suitable for return for reasons of hygiene or health protection and have been opened after delivery , such as, but not limited to, perfumes and/or other cosmetics that have been opened, the corresponding seals removed and/or used by the customer after delivery;

- For orders involving personalised products , such as, but not limited to, products engraved with the customer's initials.

10.2 . Except in the cases outlined below, the Customer may withdraw from the Contract for all or part of the Products ordered (in the case of multiple orders) and in any case for all the Products within 14 (fourteen) days from the date on which he (or his representative authorised to take over the Products) takes physical possession of the Products, without giving any reason.

10.3 . In order to exercise the right of cancellation, the Client shall notify ASTELLAN Fragrances Ltd. London by filling in the corresponding form requested on the "Contact Us" page of the Website .

Customer Service will follow up on the return request and provide the customer with return instructions via email and any standard forms or labels that need to be completed and included in the package.

Shipment must be completed within 14 (fourteen) days from the date of receipt of Customer Service notification and the above form.

10.4.For reasons of hygiene, the products for which the Customer exercises the right of return must be intact and unused. The returned products must be in their original packaging and with all their parts intact, including the packaging and any additional documents forming part of the product, if any.

10.5. Upon receipt of the returned product, ASTELLAN Fragrances Ltd. London will verify its integrity. If the returned product is found to be damaged during transportation, ASTELLAN Fragrances Ltd. London shall immediately inform the customer so that the customer can submit a report to the courier company (and/or the corresponding insurance company) of the customer’s choice in a timely manner and seek compensation from the courier company (and/or the corresponding insurance company).

10.6.  ASTELLAN Fragrances Ltd. London is not responsible for damage, theft or loss of returned products; therefore, any corresponding risk is borne solely by the customer, who must choose the most appropriate shipping method to protect his or her interests when returning goods.

10.7. Upon receipt of the returned goods and inspection of the completeness of the Products and the fact that the Products have not been used by the Customer, ASTELLAN Fragrances Ltd. London will refund the amount paid for the purchase, including shipping costs (except as provided for in paragraph 10.8 below), without undue delay and in any event not later than the period prescribed by applicable law, provided that the conditions set out in this Article 10 have been met. The refund can be made by reversing the amount charged to the payment method used for the purchase, in accordance with the relevant instructions and bank details provided by the Customer himself. In the case of purchases made using a discount code, the refund will only relate to the amount actually paid, and the discount amount will not be refunded.

10.8. In the case of partial cancellations within multiple orders ( i.e. the cancellation is limited to one or more products, and not all of the ordered products), the delivery costs will not be refunded, as their amount does not depend on the number or weight of the products included in the order.

10.9. In the event of a partial cancellation, if the amount actually paid by the Customer as a result of the cancellation (less the amount of the Products for which the right of cancellation has been exercised and therefore subject to a refund) is below the threshold that entitles the Customer to free delivery, the Customer will be charged the standard delivery fee and will be deducted from the refund amount accordingly.

11. How to store the product. Allergic reactions

11.1. The product must be stored in a dry environment, away from heat sources and must not be exposed to direct sunlight.

11.2. The cosmetic products sold comply with European Regulation 1223/2009 and are subject to strict controls. However, it cannot be excluded that some people may have subjective intolerance to ingredients contained in cosmetic products, which may cause allergic reactions and irritation. ASTELLAN Fragrances Ltd. London is willing to respond to requests for information and receive reports of intolerances or allergies before or after purchase in order to provide customers with the best possible support in product selection or returns.

12. Product Replacement

12.1. Without prejudice to the rights of the Customer pursuant to articles 10 and 15 of these General Terms and Conditions, ASTELLAN Fragrances Ltd. London does not grant the Customer the possibility to replace the Products purchased on the Website with other products purchased in stores or on other platforms.

13. Compliance defects and legal warranties

13.1.  ASTELLAN Fragrances Ltd. London warrants that the Products will be in conformity for a period of 2 years from the date of delivery, provided that the Products are adequately stored and used in accordance with the instructions and methods indicated in clause 12 above and as stated in the information sheet delivered to the Customer at the time of purchase of the Products.

13.2. For products opened after delivery, the consistency of the product is calculated with reference to the specific PAO (Post-Opening Period) of each product clearly marked on the packaging.

13.3 For products with a specific expiry date indicated on the packaging, this information indicates the period during which the product remains fit for its intended purpose and, if less than two years, the period during which warranty measures may be exercised under applicable law is limited accordingly.

13.4. Defects caused by failure to use the product correctly in accordance with the instructions for use do not constitute “conformity defects”.

13.5. In any case, if a product sold by ASTELLAN Fragrances Ltd. London has a manufacturing defect or any alleged conformity defect, the customer must contact assistance immediately.

13.6. The customer is entitled to:

a) restore the goods to the condition required by law by replacing them free of charge (but not repairing them), or,

b) if an exchange is not possible (for example, because the product is out of stock), the customer may receive a corresponding reduction in the price of the product, or

c) Termination of the Contract.

13.7. If the Customer requests a replacement for a Product lost due to non-conforming Product as described in this clause, ASTELLAN Fragrances Ltd. London will bear all costs of returning the replacement Product to ASTELLAN Fragrances Ltd. London and of delivering the replacement Product to the Customer , subject to the Customer prepaying the cost of returning the Goods for proper verification.

13.8 . Replacement of products due to non-conformity will in any case be subject to verification by ASTELLAN Fragrances Ltd. London that the Customer has complied with the correct use and storage of the products.

14. Authenticity Guarantee and Intellectual Property Rights

14.1. The " ASTELLAN " Category 3 brand and all other graphic, non-graphic or service marks (registered or not) appearing on the Products and the corresponding accessories and/or packaging, as well as all illustrations, images, logos, logos, names, photographs, video clips, written or graphic texts and, more generally, any other creative work, intellectual work or intangible asset protected by the legislation relating to the Products or, in any case, the trademarks appearing on the Website, are the exclusive property of ASTELLAN Fragrances Ltd. London and /or its assignors and/or assignees. Any use of the aforementioned, even partial, is prohibited without the prior written authorization of ASTELLAN Fragrances Ltd. London , which reserves all rights in this regard.

15. Applicable Law and Jurisdiction

15.1. These General Terms and Conditions and the Contract with the Customer shall be governed by and construed on the basis of the laws of England and Wales.

15.2 Any dispute with a consumer customer will be subject to the jurisdiction of the same customer's place of residence or domicile.

17. Processing of Personal Data

17.1.  ASTELLAN Fragrances Ltd. London will process customer data in accordance with the provisions of the current privacy legislation, in particular the provisions of (EU) 2016/679 (“GDPR”), as specified in the information notice in the “Privacy Policy” section.

18. Changes to these General Terms and Conditions of Sale. No Effect

18.1.  ASTELLAN Fragrances Ltd. London reserves the right to make changes to the website, policies and these General Terms at any time. Each time a customer orders a product from this website, the policies and conditions of the General Terms in force will apply, unless any changes to these policies and conditions are required by applicable law or competent authorities (in which case these changes will also apply to previous orders).

18.2. If any provision of these Terms and Conditions is deemed invalid, void or inapplicable for any reason, this condition will not affect the validity and effect of the remaining provisions.
